1. Strategic Creative Authority
Shree Skanda Creatives shall retain exclusive authority over creative direction, including but not limited to visual concepts, icons, layouts, communication tone, campaign themes, and brand presentation. Such decisions shall be made based on professional judgment, market research, competitor analysis, and consumer behavior insights.
2. Non-Interference in Creative Execution
The Client acknowledges that creative decisions are a specialized agency function. While business inputs may be considered, the Client shall not direct, alter, or overrule the agency’s strategic creative choices unless expressly agreed in writing.
3. Scope of Engagement
Services may include social media management, content production, paid advertising, reputation management, PR support, branding, and campaign execution as specified in the approved proposal.
4. Fees and Advance Payment
All professional fees are payable in advance. Work shall commence only upon receipt of payment. Delayed payments may result in suspension of services without liability on the part of the agency.
5. No Refund Policy
All fees paid are final and non-refundable, including retainers, campaign fees, creative charges, and consulting fees.
6. Revisions and Change Requests
Shree Skanda Creatives does not recommend more than three (3) revisions per deliverable, as excessive revisions may compromise creative integrity and project timelines. Minor revisions within this limit may be accommodated. Any request amounting to a substantial redesign, strategic shift, or complete overhaul of approved work shall be treated as additional scope and billed separately at applicable charges.
7. Deliverable Timelines
Unless otherwise specified in writing, Shree Skanda Creatives requires a minimum turnaround time of 48 business hours for deliverables, revisions, or creative requests. Saturdays, Sundays, and public holidays shall not be counted as business days. Expedited requests, if accommodated, may attract additional charges.
8. Communication and Service Hours
Client consultation calls, support discussions, and service-related communications shall be available Monday through Friday, between 10:00 AM and 5:00 PM IST, excluding public holidays. Requests received outside these hours shall be attended to during the next working window.
9. Ownership of Creative Assets
All concepts, strategies, copies, designs, and campaign assets created by Shree Skanda Creatives shall remain agency intellectual property until full payment is realized.
10. Published Content and Service Delivery
Any content, advertisement, or deliverable released, published, or executed by the agency shall not be subject to withdrawal, takedown, or reversal after deployment, except at the agency’s discretion or where mandated by law.
11. Performance Limitation
The agency shall employ industry best practices but does not guarantee specific commercial outcomes including sales, lead generation, follower growth, media coverage, or search rankings.
12. Client Obligations
The Client shall provide accurate information, timely approvals, and necessary materials. Delays caused by the Client may alter delivery timelines and campaign performance.
13. Third-Party Costs
Advertising spends, influencer fees, production expenses, printing, platform charges, or other third-party costs are separate from agency fees unless expressly included.
14. Confidentiality
Both parties agree to maintain confidentiality of proprietary strategies, trade information, campaign plans, and sensitive business data.
15. Termination of Services
Either party may terminate the engagement by written notice; however, fees for work completed, in progress, or committed shall remain due and payable.
16. Indemnity
The Client agrees to indemnify and hold harmless Shree Skanda Creatives against claims arising from inaccurate information, unlawful materials, copyright violations, or regulatory breaches provided by the Client.
17. Jurisdiction and Dispute Resolution
Any dispute arising under this engagement shall fall under the exclusive jurisdiction of the Commercial Court Complex, Coimbatore, Tamil Nadu, India.
18. Exclusivity of Strategy
Strategies, campaign frameworks, creative systems, and intellectual property developed by Shree Skanda Creatives may not be replicated, transferred, reused, or executed through third parties without prior written consent from the agency.
19. Acceptance
Payment of invoice and/or written approval of proposal shall constitute full acceptance of these terms.
20. Request Channels and Turnaround Timelines
For operational efficiency, all requests submitted through scheduled calls or through the official agency website/project submission channels shall carry a standard minimum turnaround time of 48 business hours, excluding Saturdays, Sundays, and public holidays.
Requests submitted through WhatsApp, email, text messages, or other informal communication channels shall carry a standard turnaround time of 100 business hours, excluding Saturdays, Sundays, and public holidays.
Shree Skanda Creatives reserves the right to prioritize requests based on workflow schedules and project commitments.
21. Communication Protocol
WhatsApp messages, emails, or text communications shall not be treated as emergency requests, formal approvals, or expedited instructions unless expressly acknowledged and accepted by the agency.
For urgent requests requiring 48-hour delivery timelines, clients are required to route such requests through scheduled service calls or the agency’s official website request channel.
22. Service Availability
Client consultation calls, support discussions, and service-related communications shall be available Monday through Friday, 10:00 AM to 5:00 PM IST, excluding public holidays. Requests made outside service hours shall be addressed during the next working window.
23. Expedited Requests
Requests seeking delivery earlier than the applicable turnaround period (48 or 100 business hours, as applicable) may, at the sole discretion of the agency, be treated as expedited work and will attract additional rush charges.
